Terms & Conditions

Please read these terms and conditions carefully before registering on the site or using the services.

1. Contractual relations

1.1 These Terms of Use ("Terms") govern your access to or use of the applications, websites, content, products and services of All Portugal ("Services") provided by Descobrilança Unipessoal LDA (ID: 516940503), in Portugal, hereinafter "All Portugal".

1.2 Your access to and use of the Services constitutes your agreement to be bound by these Terms, which govern the contractual relationship between you and All Portugal. If you do not agree to these Terms, you may not access or use the Services. These Terms supersede any prior agreements or understandings with you. All Portugal may immediately terminate these Terms or any Services with respect to you, and may discontinue providing or deny access to the Services or any part thereof at any time for any reason.

1.4 The Supplemental Terms and Conditions shall be deemed to form part of these Terms and Conditions for the purposes of providing the relevant Services. The Supplemental Terms shall prevail over these Terms in the event of any conflict in relation to the relevant Services.

1.3 Certain Services may be subject to additional terms and conditions, such as policies relating to a particular event, activity or promotion, and such additional terms and conditions will be disclosed to you in connection with the relevant Services.

1.5 All Portugal may make changes to the Terms and Conditions related to the Services from time to time. The changes will become effective when All Portugal posts the updated Terms on this website or the modified terms or additional terms on the applicable Service. Your continued access to or use of the Services after such posting constitutes your agreement to be bound by the Terms as modified.

1.6 Our collection and use of personal information in connection with the Services is governed by the following Privacy Policy, available online at: www.allportugalmedia.com/privacy-policy.

1.7 By using the Services, you also give your consent to the processing of your personal information by All Portugal, including cross-border transfer, transfer to third parties (suppliers of goods and services) as part of the service provision procedure.

2. Services

2.1 The services represent the production of digital content - photo and video materials according to the customer's order, as well as the provision of necessary and sufficient information for the use of additional equipment located in the premises of All Portugal.

2.2 Provision of services

2.2.1 You acknowledge that some Services may be provided under various All Portugal trademarks associated with All Portugal's business, including those listed on www.allportugalmedia.com and those available through the All Portugal mobile application.

2.3 Third party services and content

2.3.1 All Portugal Services may be accessed or available in connection with third party services and content (including advertising) that All Portugal does not control. You acknowledge that different terms of use and privacy policies may apply to your use of such third party services and content.

2.3.2 All Portugal does not endorse such third party services and content, and in no event shall All Portugal be liable for any products or services of such third party providers.

2.3.3 In addition, Apple Inc., Google, Inc., Microsoft Corporation or BlackBerry Limited and/or their respective international subsidiaries and affiliates will be third party beneficiaries of this agreement if you access the Services using Applications developed for Apple iOS, Android, Microsoft Windows or Blackberry mobile devices, respectively. These third party beneficiaries are not parties to this contract and are not responsible for providing or supporting the Services in any way. Your access to the Services using these devices is subject to the terms and conditions set forth in the respective third party beneficiary's terms of service.

3. Your use of the Services

3.1 User accounts

3.1.1 In order to use most aspects of the Services, you must register and maintain an active personal user account for the Services ("Account"). Registering an Account requires you to provide All Portugal with certain personal information such as your name, E-mail, at least one valid payment method (credit card or accepted payment partner).

3.1.2 You agree to maintain accurate, complete and up-to-date information in your Account. Failure to maintain accurate, complete and up-to-date Account information, including the existence of an invalid or expired payment method, may result in your inability to access and use the Services or termination of these Terms from All Portugal.

3.1.3 You are responsible for all activities that occur under your Account and agree to maintain the security and secrecy of your Account username and password at all times.

3.2 Requirements for users of the Services

3.2.1 You may not authorize third parties to use your Account. You may not assign or otherwise transfer your Account to another person or entity.

3.2.2 You agree to comply with all applicable laws when using the Services and may only use the Services for lawful purposes. When using the Services, you shall not cause inconvenience or property damage to any of the participants in the provision of the Services.

3.3 Text messages

3.3.1 By creating an account, you agree that All Portugal may send you text messages (SMS/email/push) in the ordinary course of business related to your use of the Services. You also agree to receive communications, including advertisements, from All Portugal and its affiliates. You may opt-out of receiving such communications at any time by sending an email to customer service indicating that you no longer wish to receive such communications and (if applicable) the phone number of the mobile device that receives the communications. You acknowledge that opting out of receiving text messages (SMS/email) may affect your use of the Services.

3.3.2 All Portugal may, at its discretion, create promo codes that can be used to obtain a discount on the services of the Service providers or other opportunities or benefits related to the Services and/or Third Party Services, subject to any additional terms and conditions that All Portugal establishes for each promo code ("Promo Codes").

You agree that Promo Codes:

a. must be used for its intended and lawful purpose;

b. may not be copied, sold or transmitted in any way, or made available to the general public (publicly posted or otherwise) unless expressly authorized by All Portugal;

c. may be disconnected by All Portugal at any time for any reason without liability to All Portugal;

d. may only be used in accordance with the specific terms and conditions that All Portugal sets forth for such Promo Code;

e. not valid for cash payments;

f. may expire before you use them.

3.4 Content provided by the user All Portugal

3.4.1 All Portugal may, in its sole discretion, authorize you to submit, post or otherwise make available to All Portugal text, audio and/or visual content and information, including comments and feedback related to the Services, initiate support inquiries and submit event requests ("User Content").

3.4.2 Any User Content submitted by you remains your property. However, by submitting User Content to All Portugal, you grant All Portugal and its affiliates a worldwide, perpetual, irrevocable, royalty-free, sublicensable right to use, copy, modify, create derivative works from, distribute, publicly display, publicly perform or otherwise exploit such User Content in all formats and distribution channels now known or hereafter developed (including in connection with the Services and All Portugal's business.

3.5 Network and device access

3.5.1 You represent and warrant that:

a. You are the sole and exclusive owner of all User Content, or you have all rights, licenses, consents and permissions necessary for All Portugal to provide User Content as set forth above;

b. Neither the User Content, nor your submission, publication or other provision of such User Content, nor All Portugal's or its affiliates' use of User Content as authorized herein, will infringe, misuse or violate any third party's intellectual property or proprietary rights, rights of publicity or privacy, or result in a violation of any applicable law or regulation.

3.5.2. You are responsible for obtaining the data network access necessary to use the Services. If you access or use the Services from a wireless enabled device, data and messaging rates and charges on your mobile network may apply and you are responsible for such rates and charges.

3.5.3. You are responsible for purchasing and updating compatible equipment or devices necessary to access and use the Services and any updates thereto. All Portugal does not warrant that the Services, or any part thereof, will operate on any particular equipment or devices. In addition, the Services may be subject to failures and delays inherent in the use of the Internet and electronic communications.

4. Payment

4.1 You understand that as a result of using the Services, you may be charged for services or goods that you receive from third party providers ("Fees"). Payment acceptance may be performed by third parties engaged by All Portugal for this purpose, if it is done online through the All Portugal Platform. A Payment will be treated in the same manner as a payment made by you directly to a Third Party Vendor. Payments include applicable taxes and commissions ("Fees") where required by law.

4.2 All fees are immediately due and payable using the preferred payment method specified in your Account, after which a statement will be emailed to you. If it appears that the primary payment method in your Account has expired, is invalid or is otherwise unavailable, you agree to use the additional payment method in your Account, if available. Fees charged in certain geographic areas may increase significantly during periods of high demand for third party providers.

4.3 You understand and agree that while you are free to provide additional payments as consideration to any third party seller who provides you with services or goods purchased through the Platform, you are under no obligation to do so. Once you have received services or goods purchased through the Platform, you will have the opportunity to evaluate your experience and leave additional feedback about the third-party seller.

5. Use of photo and video materials

5.1 Filming and use of materials

5.1.1. All Portugal reserves the right to take photos and videos in its premises and at events organized by it.

5.1.2 By visiting our studio or participating in our events, you agree to possible photography and videotaping with your participation.

5.2 Rights to use content

5.2.1. All Portugal receives a non-exclusive right to use photo and video materials created in its premises or at its events for promotional, informational and educational purposes.

5.2.2 This right extends to the use of materials on the Studio's website, social media, promotional brochures and other marketing materials.

5.3 Protection of the rights of minors

5.3.1 When filming children during creative activities, photo shoots or other events in All Portugal's public space, parents, legal guardians accompanying minors give their consent to the possible use of the photo and video materials in the preparation and further distribution of All Portugal's information materials.

5.4 Confidentiality and ethics

5.4.1. All Portugal undertakes to use the materials received in an ethical manner, without violating the dignity and personal rights of the persons depicted.

5.4.2 We will not use photos or videos in a context that could be considered defamatory or offensive.

5.5 Commercial use

5.5.1 If we intend to use the photo or video material for commercial purposes beyond the promotion of All Portugal's services, we undertake to obtain additional consent from the persons depicted or their legal representatives.

5.6 Right of removal

5.6.1 Persons depicted in photo or video materials have the right to request removal or discontinuation of use of materials with their participation. Such requests shall be considered on a case-by-case basis.

5.7 Data storage and protection

5.7.1 All photos and videos are stored on a secure system with limited access, in accordance with our general data protection policy.

6. Use of third-party hardware and software

6.1 All Portugal may use equipment and software from third-party suppliers on the basis of license agreements to provide services.

6.2 All Portugal does not provide customers with ownership, leases or sublicenses of third party hardware and software.

6.3 Customers may not independently use, copy, modify or distribute third party hardware and software.

6.4 All Portugal does not sell, rent, lease, donate or otherwise transfer third-party hardware and software to customers or third parties.

6.5 All services related to the use of equipment and software of third-party suppliers are provided exclusively by All Portugal specialists in accordance with the customer's order.

6.6 Customers agree not to attempt to gain unauthorized access to third-party vendor hardware and software.

6.7. All Portugal is responsible for the proper use of third-party hardware and software in accordance with license agreements.

6.8 Customers agree to comply with all applicable terms and conditions of third party license agreements when receiving All Portugal services.

6.9. All Portugal reserves the right to change the set of third party hardware and software used without prior notice to customers.

6.10. In case of claims from third-party suppliers related to the client's violation of the terms of use of the equipment or software, the client undertakes to reimburse All Portugal for all related losses.

7. Limitation of liability, indemnification

7.2 Limitation of liability

7.2.1 All Portugal shall not be liable for indirect, incidental, special, exemplary, punitive or consequential damages, including lost profits, lost data, material damage, related to or arising out of the use of the services, even if All Portugal has been advised of the possibility of such damages.

7.2.2 All Portugal shall not be liable for any loss, liability or damage arising from:

a. your use of or reliance on the services, or your inability to access or use the services;

b. any transaction or relationship between you and a third party provider, even if All Portugal has been advised of the possibility of such damages.

7.2.3 All Portugal shall not be liable for any delay or default due to causes beyond the control of All Portugal.

7.2.4 The limitations and disclaimers in this Section 5 are not intended to limit liability or alter your rights that cannot be excluded under applicable law.

8. Regulatory legislation

These Terms and Conditions shall be governed by the laws of Portugal.

9. Other provisions

9.1 Claims of copyright infringement. Claims of copyright infringement should be addressed to All Portugal. The address and further information can be found on the All Portugal web page at https://www.allportugalmedia.com/.

9.2 Notification

9.2.1 All Portugal may send you notice by e-mail to your e-mail address in your account or in writing to your address in your account. You may send the notice by written communication to All Portugal.

9.3 General provisions

9.3.1 You may not assign or transfer these Terms in whole or in part without the prior written authorization of All Portugal.

9.3.2 You agree to All Portugal's assignment of these Terms, in whole or in part, including:

a. to a subsidiary or affiliate;

b. to the purchaser of the shares, business or assets of All Portugal;

c. to a successor in title as a result of a merger.

9.3.3 No joint venture, partnership, employment or agency relationship exists between you, All Portugal or any Third Party Provider as a result of a contract between you and All Portugal or use of the Services.

9.3.4 If any provision of these Terms is held to be illegal, invalid or unenforceable, in whole or in part, under any law, such provision or part thereof shall be deemed not to form part of these Terms, but the legality, validity and enforceability of the other provisions of these Terms shall not be affected thereby. In such event, the parties shall replace the illegal, invalid or unenforceable provision or part thereof with a provision or part thereof which is legal, valid and enforceable and which, as far as possible, has the same effect as the illegal, invalid or unenforceable provision or part thereof, subject to the substance and purpose of these Terms.

9.3.5 These Terms constitute the entire agreement and understanding of the parties with respect to their subject matter and supersede and cancel all prior or contemporaneous agreements or obligations with respect to such subject matter. In these Terms, the words "including" and "include" mean "including but not limited to".
